SentinelOne WatchTower Pro Addendum

This SentinelOne Watchtower Pro Addendum (“Watchtower Pro Addendum”) is made and entered into as of the date indicated in a Purchase Order for the WatchTower Pro Service (as defined below) (the “Effective Date”) by and between SentinelOne, Inc. (“SentinelOne”) and the customer that purchased the WatchTower Pro Service (“Customer”). SentinelOne and Customer may sometimes be referred to herein as a “Party” and together the “Parties.” SentinelOne and Customer entered into the SentinelOne Master Subscription Agreement available at https://www.sentinelone.com/legal/master-subscription-agreement and any applicable terms to the Services (“MSA”) or another version of the MSA as executed between Customer and SentinelOne for Customer’s subscription to the Singularity Platform, as defined in the MSA. The MSA shall apply to this Watchtower Pro Addendum and terms not defined in this Watchtower Pro Addendum shall have the meaning ascribed to them in the MSA. The Parties agree as follows:

1. WatchTower Pro Service.

The “WatchTower Pro Service” consists of the following (unless specified otherwise in a Purchase Order): access to the WatchTower Threat Hunting Library (as defined in the Documentation), up to two compromise assessments per year with the goal to identify active attackers, malware, insider threats, environmental issues, or policy breakage (“Compromise Assessments"), and up to two annual security mitigation assessments with the goal to review findings identified during previous compromise assessment to determine if any remediation actions were effective (“Mitigation Assessments”). SentinelOne will offer to perform up to two Compromise Assessments and Security Mitigation assessments per year for Customer. For avoidance of doubt, Customer is not entitled to Compromise Assessments or Mitigation Assessments if Customer has not accepted SentinelOne’s offer to perform such assessments as stated in this Section or Customer has failed to take the necessary steps to meet the requirements as detailed in the applicable Documentation to enable SentinelOne to perform such assessments during the current WatchTower Pro Services Term (as defined in Section 4 below).

2. Requirements.

The WatchTower Pro Service is only available for Customers who have an active subscription to the Singularity Platform and who purchased the WatchTower Pro Service via a valid Purchase Order.

3. Warranty.

SentinelOne warrants the provision of the WatchTower Pro Service in accordance with the terms of this WatchTower Pro Addendum. SentinelOne does not warrant or guarantee that the WatchTower Pro Service, or SentinelOne’s recommendations and plans made by Customer as a result of the WatchTower Pro Service, will result in the identification, detection, containment, eradication of, a desired outcome, or recovery from all of Customer’s system threats, vulnerabilities, malware, malicious software, or other malicious threats. Customer agrees not to represent to any person or entity that SentinelOne has provided such a guarantee or warranty. SentinelOne does not warrant or guarantee identification of every existing threat, any resolution of any identified threat, error-free threat classification, correct incident prioritization, that WatchTower Pro Service is successful in removing or resolving threats, any desired outcome of the WatchTower Pro Service, satisfactory threat response or threat hunting.
In subscribing to the WatchTower Pro Service, Customer acknowledges the foregoing disclaimers with respect to SentinelOne’s provision of the WatchTower Pro Service. Without limiting the foregoing, SentinelOne provides the WatchTower Pro Service as an “as is” service without any warranties, express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or those arising by law, statute, usage of trade, or course of dealing. SENTINELONE DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OF AN ONLINE SERVICE OR THAT SENTINELONE WILL IDENTIFY ALL THREATS OR VULNERABILITIES, CORRECT ALL DEFECTS OR PREVENT THIRD PARTY DISRUPTIONS OR UNAUTHORIZED THIRD-PARTY ACCESS. THESE WARRANTIES ARE THE EXCLUSIVE WARRANTIES FROM SENTINELONE AND REPLACE ALL OTHER WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OR CONDITIONS OF SATISFACTORY QUALITY, MERCHANTABILITY, NONINFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. SENTINELONE’S WARRANTIES WILL NOT APPLY IF THERE HAS BEEN MISUSE, MODIFICATION, DAMAGE NOT CAUSED BY SENTINELONE, FAILURE TO COMPLY WITH INSTRUCTIONS PROVIDED BY SENTINELONE.

4. Term and Termination.

Unless stated otherwise in a Purchase Order, the effective date and length of this WatchTower Pro Addendum will be in one-year increments (“WatchTower Pro Services Term”) for as many one-year terms as stated in a Purchase Order for the WatchTower Pro Services, unless the MSA is terminated earlier, in which case this WatchTower Pro Addendum shall also terminate.
